These Terms of Service ("Terms") govern your access to and use of the Instagit website, API, and related services (the "Service") operated by Instalabs, LLC ("Instagit," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 16 years old to use the Service. By using Instagit, you represent that you meet this requirement and have the authority to agree to these Terms.

2. Your Account

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized access. We reserve the right to suspend or terminate accounts that violate these Terms.

3. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws.
  • Attempt to gain unauthorized access to other users' accounts or our systems.
  • Reverse engineer, decompile, or disassemble the Service or its proprietary components.
  • Scrape, crawl, or use automated means to access the Service beyond the provided API.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Resell, redistribute, or sublicense access to the Service without written permission.
  • Use the Instagit name, logo, or branding to represent derivative works as official Instagit products.
  • Generate, distribute, or facilitate the creation of malicious code, malware, or exploits through the Service.
  • Extract, reverse-engineer, or attempt to derive training data, model weights, or proprietary algorithms from the Service.
  • Harass, threaten, or cause harm to individuals, organizations, or repository maintainers using information or outputs obtained through the Service.
  • Use the Service, its outputs, or any data obtained through the Service for the purpose of training, fine-tuning, or developing artificial intelligence or machine learning models without a commercial enterprise license from Instalabs, LLC.

Abuse and Enforcement

Instalabs reserves the right to investigate suspected violations of these Terms. In the event of a violation, Instalabs may immediately suspend or terminate your account, report violations to law enforcement or affected parties, and pursue any available legal remedies. Repeated or egregious violations may result in permanent bans across all Instalabs services.

4. Intellectual Property

Our Property

The Instagit service, API, intelligence engine, and all associated software are the proprietary property of Instalabs, LLC. The Instagit name, logo, and visual identity are trademarks of Instalabs, LLC. This website's source code is available under the Apache License 2.0, but the brand and backend services are not.

Training Data Restriction

All data, outputs, and content generated by or obtained through the Service are proprietary to Instalabs, LLC and may not be used to train, fine-tune, distill, or otherwise develop any artificial intelligence or machine learning model without a separate commercial enterprise license agreement from Instalabs, LLC. Your Content

You retain ownership of any content you submit to the Service. By using the Service with your repositories, you grant us a limited license to access and process that content to provide the Service to you. If you are on a free plan, this license additionally includes the right to anonymize and use derived data for AI model training, improvement, and publication as described in our Privacy Policy. If you are on a paid plan (PRO or MAX), the license is limited to providing the Service; your data will not be used for training or publication.

No Access to Your Source Code

Instagit does not access, retrieve, store, or process your source code. The Service operates exclusively on the questions, prompts, and queries you submit to us. Your repositories, codebases, and source files are never transmitted to or seen by Instagit. We only receive and process the natural-language questions you ask through the Service.

Open-Source Software

The Instagit website source code is licensed under the Apache License 2.0. See the repository and NOTICE file for details on what is and is not covered by the open-source license.

5. AI-Generated Content and No Reliance

By using the Service, you acknowledge and agree that:

  • All outputs are AI-generated. Content produced by Instagit is generated by automated artificial intelligence systems and may contain errors, omissions, or inaccuracies.
  • No guarantee of accuracy. Outputs are not warranted as correct, complete, current, or fit for any particular purpose.
  • No professional advice. Instagit outputs do not constitute legal, security, financial, or any other form of professional advice. You should consult qualified professionals for such matters.
  • You assume all risk. You are solely responsible for evaluating, verifying, and validating all AI-generated outputs before relying on them or incorporating them into any project, codebase, or decision.
  • No liability for AI outputs. Instalabs disclaims all liability for any damages, losses, or consequences arising from your reliance on or use of AI-generated content.
  • No IP or license guarantees. AI-generated outputs may inadvertently resemble or incorporate elements from third-party copyrighted works, patented methods, or open-source licensed code. Instalabs makes no representations that outputs are free of third-party intellectual property claims, copyright infringement, or license obligations, and accepts no liability for any such claims.

6. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control. We are not liable for any downtime or data loss.

7. API Usage

Access to the Instagit API is subject to rate limits and usage quotas. We reserve the right to throttle or suspend API access for accounts that exceed reasonable usage or engage in abusive patterns.

8. Fees and Payment

Certain features of the Service may require a paid subscription. Pricing, billing cycles, and payment terms will be presented to you before purchase. All fees are non-refundable unless otherwise stated or required by law.

9. Plan-Specific Data Commitments

Free Plan

By using the Service on a free plan, you agree that Instalabs may anonymize, aggregate, and use data derived from your queries and interactions to train and improve AI models, and to publish such anonymized data on the Instagit website, in research, marketing materials, and through other means.

Paid Plans (PRO and MAX)

Paid plan subscribers receive a contractual zero data training commitment. Your data is processed exclusively for the purpose of delivering the Service and will not be used for AI model training, improvement, or publication.

Plan Changes

If you downgrade from a paid plan to a free plan, free-plan data terms apply to your data going forward from the date of the downgrade. If you upgrade from a free plan to a paid plan, the zero data training commitment applies from the date of your upgrade onward. Data generated during a paid subscription period retains its zero-training commitment regardless of future plan changes.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be error-free, secure, or meet your specific requirements.

All outputs and information provided by Instagit are generated through artificial intelligence and automated analysis. Such outputs may contain errors, inaccuracies, or outdated content. AI-generated outputs are not a substitute for professional code review, security auditing, legal advice, or any other form of expert consultation.

11. Limitation of Liability

To the maximum extent permitted by law, Instalabs, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Instalabs, LLC from any claims, damages, or expenses arising from your use of the Service or violation of these Terms, including but not limited to claims of copyright infringement, license violations, intellectual property disputes, or any other third-party claims related to your use of AI-generated outputs.

13. Output Ownership and Responsibility

Instalabs does not claim ownership of AI-generated outputs produced through your use of the Service. However, Instalabs makes no representations or warranties regarding your right to use, distribute, or commercialize such outputs. AI-generated outputs may inadvertently reproduce or derive from copyrighted material, patented methods, or code subject to open-source or proprietary license terms.

You are solely responsible for reviewing all AI-generated outputs for potential copyright, license, or intellectual property issues before use. You must ensure that your use of outputs complies with all applicable laws, third-party intellectual property rights, and repository license terms. Instalabs disclaims all liability for any copyright infringement, license violations, intellectual property disputes, or related claims arising from your use of AI-generated outputs.

14. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Delaware.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page. Your continued use of the Service after changes constitutes acceptance of the revised Terms.
